A Dubai holding company owns assets rather than trading: shares in operating companies, intellectual property, investments, and in specific cases real estate. The three realistic routes — a UAE offshore company, a free zone holding licence, or a DIFC/ADGM vehicle — differ sharply in cost, substance, banking acceptance and what they are allowed to hold, so the structure decision comes before any paperwork.

What a Dubai holding company is for
Separating ownership from operations: the holding entity sits above your trading companies and owns the shares, brands, patents and group investments. That ring-fences operating risk, simplifies succession and exit planning, centralises dividends, and gives banks and counterparties one clean ownership story. Founders, families and investor groups all use the same basic architecture.
Route 1 — UAE offshore holding (RAK ICC, JAFZA)
The classic low-overhead holding vehicle. RAK ICC is the default registry: 100% foreign ownership, no office requirement, no visa allocation, no audit filing for standard cases, and quick remote incorporation. It can hold shares in UAE and foreign companies, IP, and international investments. JAFZA Offshore is the variant chosen when Dubai freehold property is part of the plan, as it is one of the few offshore vehicles accepted for approved Dubai developments. Offshore companies cannot trade in the UAE or sponsor visas.
Route 2 — free zone holding licence
Free zones such as IFZA, Meydan and RAKEZ issue holding-company licences with 100% ownership, a flexi-desk address and the option of residence visas for shareholders. This route suits founders who want UAE residency alongside the holding vehicle, or who expect the entity to take a more active role — invoicing management fees, employing staff, or demonstrating substance for treaty or banking purposes.
Route 3 — DIFC and ADGM
Dubai's and Abu Dhabi's financial free zones offer common-law courts, sophisticated company forms (including foundations and SPVs) and the strongest institutional credibility, at a correspondingly higher cost. This is the route for fund structures, family offices, regulated-adjacent activity, or holdings where counterparties and banks demand a premium jurisdiction.
What the holding company can and cannot own
UAE holding vehicles routinely own: shares in local and foreign subsidiaries, intellectual property, investment portfolios, and bank and brokerage accounts. Real estate is the exception with rules: JAFZA Offshore can hold approved Dubai freehold; most other offshore vehicles cannot hold UAE mainland property directly, so property is usually held through a free zone entity or the property-owning structure is designed separately.
Banking and substance
A holding company's bank account lives or dies on the ownership story: who the ultimate beneficial owners are, where the assets came from, and what flows will move through the account. Banks increasingly expect a level of substance — a credible registered address, proper accounting records, and a coherent rationale for the UAE. We assess banking feasibility before incorporation, including UAE banks, regional banks and international EMIs where a local account is unlikely.
Tax and compliance in brief
Pure holding companies earning dividends and capital gains often fall outside the practical scope of UAE Corporate Tax, and qualifying free zone entities can access the 0% regime on qualifying income — but this depends on activity, residence and management, and home-country rules (CFC, residency, treaty positions) are a separate analysis. UBO filing, AML compliance and, where applicable, Economic Substance reporting apply from day one.
Questions clients ask first
What is the cheapest way to set up a holding company in Dubai?
A RAK ICC offshore company is usually the lowest-cost credible route: no office, no visa requirement, remote incorporation and minimal ongoing filings. The right answer still depends on what the company will hold and whether a UAE bank account is needed — we assess that before recommending a registry.
Can a Dubai holding company own shares in foreign companies?
Yes. Owning shares in foreign and UAE subsidiaries is the core purpose of a UAE holding vehicle, alongside IP and investment assets.
Can a holding company own Dubai property?
Only in specific structures. JAFZA Offshore is one of the few offshore vehicles accepted for approved Dubai freehold developments. Otherwise, UAE property is usually held through a free zone entity or a separately designed property structure.
Do I get a UAE residence visa with a holding company?
Not with an offshore holding company — offshore entities sponsor no visas. If residency matters, a free zone holding licence with a visa allocation is the usual route.
Does a holding company pay UAE corporate tax?
It depends on the income. Dividends and capital gains from qualifying participations are often exempt, and qualifying free zone entities can access the 0% regime on qualifying income. The analysis turns on activity, residence and where the company is managed, and your home-country tax rules must be reviewed in parallel.
How long does setup take and can it be done remotely?
Offshore and most free zone holding companies incorporate in days to a couple of weeks, and the process can be completed remotely with notarised or apostilled documents. Bank account opening is the longer pole and usually requires a visit to the UAE.
