Dubai Company Setup for UK Founders

UK founders move to Dubai for a 0% personal income tax environment, a 9% headline corporate tax, and fast access to Gulf, African and Asian markets. The decisions that actually determine the outcome are your UK tax residency position, whether the UK company keeps trading, and how your UAE bank reads the transition.

Why UK founders relocate to Dubai

No personal income tax, no capital gains tax and no dividend tax in the UAE, 9% corporate tax only above AED 375,000 of taxable profit, 100% foreign ownership, English-language contracts and English common law in the DIFC and ADGM, a four-hour time overlap with London, and direct daily flights. For consultancies, funds, e-commerce and trading businesses the operating economics change materially.

    Choosing the right structure

Free zone (IFZA, DMCC, Meydan, DIFC, SHAMS) is the default for UK founders: 100% ownership, investor residence visa, and qualifying income potentially at 0% corporate tax. Mainland (DED) is required if you sell directly into the UAE local market or want government contracts. Offshore (RAK ICC, JAFZA) is a holding vehicle only — no visa, no UAE trading — and is usually added later above an operating company.

UK tax residency and the Statutory Residence Test

Incorporating in Dubai does not end your UK tax exposure. Leaving UK tax residency depends on the Statutory Residence Test: day counts, the automatic overseas tests, the sufficient ties test, and split-year treatment in the year of departure. Retaining a UK home, UK work days, or family ties can keep you UK-resident on your worldwide income. Plan the departure date, not just the incorporation date.

The UK company: keep, dormant, or close

Three realistic paths. Keep it trading for UK clients and contracts, and run the UAE entity alongside for international revenue. Make it dormant with Companies House and HMRC while you transition. Or strike it off / liquidate — a members' voluntary liquidation may attract Business Asset Disposal Relief, but the timing interacts with your residency and with the temporary non-residence rules that can claw back distributions if you return within five years.

    Central management and control

A UK-incorporated company is UK tax resident by incorporation. Equally, a UAE company run day to day from a laptop in London can be treated as UK tax resident under central management and control, and can create a UK permanent establishment. Board meetings, decision-making, contracts and substance need to sit in the UAE for the structure to mean anything.

Documents and apostille from the UK

UK passport, proof of address (utility bill or bank statement, usually within three months), CV, and source-of-funds evidence (SA302s, payslips, company accounts, or sale proceeds). Corporate shareholders add the certificate of incorporation, articles, register of directors and shareholders, and a board resolution — apostilled by the FCDO Legalisation Office and, where required, attested by the UAE Embassy in London.

    UAE banking for UK shareholders

UK founders are a straightforward profile for UAE banks when the documentation is clean. Emirates NBD, Mashreq, ADCB, RAKBANK and WIO regularly onboard them. Expect questions on the UK business history, why the UAE entity exists, expected counterparties, and volumes. Account opening normally requires an in-person visit, and we assess bank fit before incorporation rather than after.

    Residency, visas and family

A free zone or mainland licence sponsors an investor residence visa (typically 2 years, renewable), which in turn allows Emirates ID, family sponsorship, schooling and local banking. Founders investing AED 2M+ in property or meeting the business or specialised-talent criteria can pursue the 10-year Golden Visa. Offshore companies sponsor nobody — pair them with an operating entity if residency matters.

    Questions clients ask first

Can a UK citizen own 100% of a Dubai company?

Yes. UK nationals can own 100% of a UAE free zone or offshore company, and of mainland companies for most commercial and industrial activities, with no Emirati partner required.

Do I still pay UK tax if my company is in Dubai?

It depends on your own tax residency, not the company's location. If you remain UK tax resident under the Statutory Residence Test, your worldwide income including UAE dividends is generally within UK scope. Breaking UK residency, and where the company is actually managed from, are the two decisive points.

How long do I have to spend in the UAE?

For UAE tax residency purposes 183 days in the UAE is the main test, with a 90-day route for GCC nationals and UAE residents with a permanent home and business there. Immigration rules also require you not to stay outside the UAE for more than six consecutive months to keep a residence visa valid. Your UK day count matters just as much.

Should I close my UK limited company?

Not automatically. Many founders keep it trading for UK clients, make it dormant, or liquidate it. The right answer depends on existing contracts, retained profits, Business Asset Disposal Relief eligibility, and the temporary non-residence rules if you might return to the UK within five years.

How long does Dubai company setup take from the UK?

Free zone incorporation usually completes in three to ten business days once documents are in order, and offshore in a similar window. Add one to three weeks if corporate documents need FCDO apostille. Bank onboarding is the long pole, commonly four to ten weeks.

Can I set up remotely from London?

Incorporation of offshore and most free zone companies can be completed remotely with apostilled documents and e-signature. Emirates ID biometrics and bank account opening normally require a short visit to the UAE.

Is there a UK-UAE double tax treaty?

Yes. The UK-UAE double taxation agreement covers residency tie-breaks and the treatment of dividends, interest and business profits. It does not remove UK tax on someone who is still UK tax resident, so it is a supporting tool rather than a solution on its own.

What does it cost to set up in Dubai from the UK?

Cost depends on the structure, activity, number of visas, and office requirement. We scope a transparent quote against your specific plan rather than quoting fixed packages.
