Moving Your Business to Dubai from the UK: 2026 Guide

    Updated 11 min read

    Why UK founders are moving

The pull factors are consistent: no personal income tax, no capital gains tax and no dividend tax in the UAE, a 9% corporate tax that only applies above AED 375,000 of taxable profit, 100% foreign ownership, and a four-hour working overlap with London. For consultancies, funds, e-commerce sellers and trading businesses, the change in net economics is significant enough to justify the move on its own.

Step 1 — Decide what "moving" actually means

There are three different projects that often get described the same way:

    • Relocating yourself — you become UAE resident and break UK tax residency. This is the step that drives the personal tax outcome.
    • Relocating the trade — new contracts, staff and invoicing move to a UAE entity.
    • Adding a UAE entity — the UK company keeps trading and the UAE company takes international revenue.

Most failed transitions are the result of doing the second without the first, or the first without enough substance behind the second.

Step 2 — Choose the structure

Free zone (IFZA, DMCC, Meydan, SHAMS, DIFC) is the default for UK founders. It gives 100% ownership, an investor residence visa, and qualifying income that may fall under the 0% corporate tax regime. Mainland (DED) is needed if you sell directly into the UAE local market, want retail premises, or bid for government work. Offshore (RAK ICC, JAFZA) holds assets and shares — it issues no visas and cannot trade in the UAE, so it usually sits above an operating company rather than replacing one. See the free zone setup page and the mainland setup page for the mechanics.

Step 3 — Deal with the UK limited company

Keep it, mothball it, or close it:

    • Keep trading — sensible where UK clients, contracts or regulatory permissions cannot move. Run both entities with clean intercompany terms.
    • Dormant — file dormant accounts with Companies House and notify HMRC. Cheap to reverse if the transition stalls.
    • Strike off or liquidate — a members' voluntary liquidation can be efficient where retained profits are meaningful, and Business Asset Disposal Relief may apply. Timing interacts with your residency year and with the temporary non-residence rules, which can claw back distributions if you return to the UK within five years.

This is a decision to take with a UK accountant before you incorporate in the UAE, not after.

Step 4 — Get the residency timing right

Incorporating in Dubai does not, by itself, change your UK tax position. Leaving UK residency runs through the Statutory Residence Test — day counts, the automatic overseas tests, and the sufficient ties test — with split-year treatment potentially applying in the year you leave. Keeping a UK home, working UK days, or having family remain can hold you in the UK net. There is a fuller walkthrough in our guide to UK tax residency and a Dubai company.

Step 5 — Substance and management

A UAE company directed day to day from London can be treated as UK tax resident under central management and control, and can create a UK permanent establishment. Hold board meetings in the UAE, sign contracts there, keep a real office or desk arrangement appropriate to the activity, and make sure the decision trail matches the story you tell the bank and the tax authorities.

Step 6 — Documents and legalisation

Individual shareholders provide a passport, proof of address (usually dated within three months), a CV, and source-of-funds evidence such as SA302s, payslips, company accounts or sale proceeds. Corporate shareholders add the certificate of incorporation, articles, registers of directors and shareholders, and a board resolution — apostilled through the FCDO Legalisation Office and, where the registry requires it, attested by the UAE Embassy in London.

    Step 7 — Banking

UK founders are a clean profile for UAE banks when the file is prepared properly. Emirates NBD, Mashreq, ADCB, RAKBANK and WIO regularly onboard them. Banks want to understand the UK trading history, why the UAE entity exists, who the counterparties are, and expected volumes. Account opening usually needs an in-person visit. Plan four to ten weeks and read our banking feasibility checklist before applying.

    Realistic timeline

    • Structure and tax planning: 1–3 weeks
    • Document collection and FCDO apostille: 1–3 weeks
    • Free zone incorporation and licence: 3–10 business days
    • Entry permit, medical, Emirates ID: 2–4 weeks
    • Bank account opening: 4–10 weeks

    Common mistakes

    • Incorporating before the UK residency plan is settled.
    • Choosing a free zone on price rather than on activity and banking acceptance.
    • Assuming an offshore company delivers residency. It does not.
    • Running the UAE company from a London desk and creating a UK permanent establishment.
    • Leaving the UK company in limbo, unfiled and accruing penalties.
