    UAE Offshore Company Setup

UAE offshore company setup takes days on paper and weeks in the bank. Incorporation under RAK ICC, JAFZA Offshore, or Ajman Offshore is remote and straightforward — the decisions that matter are registry choice, ownership structure, and whether your banking story will survive underwriting.

What a UAE offshore company is (and is not)

An offshore company is a UAE-incorporated international business company used for holding assets, owning IP, structuring investments, and non-UAE trading. It is not a trading licence for the UAE market, it does not sponsor residence visas, and it cannot lease operating premises. Founders needing those add a free zone or mainland entity alongside it.

Step 1 — Choose the registry

RAK ICC is the default: flexible structures, the broadest UAE banking acceptance, and lower fees. JAFZA Offshore is chosen when Dubai association or freehold property holding in approved developments matters. Ajman Offshore is the lean, cost-efficient option where neither Dubai nor RAK branding is required.

Step 2 — Fix the structure before filing

Shareholder mix (individual vs corporate), director appointments, share classes, and the ownership chain should be settled before incorporation. Restructuring after the registrar has issued the certificate is slower and can reset a bank's onboarding review.

Step 3 — Documents and KYC

Individual shareholders provide passport, proof of address, CV, and source-of-funds evidence. Corporate shareholders add certificate of incorporation, registers of directors and shareholders, good standing, MOA/AOA, and a board resolution — recent and, where required, notarised or apostilled.

Step 4 — Incorporation and timeline

Filing goes through a licensed registered agent. Name approval and incorporation typically complete within a few business days once documents are clean; corporate shareholders with legalisation requirements add one to three weeks. Bank onboarding is the longer stage — commonly four to ten weeks.

    Step 5 — Banking feasibility

Banks underwrite the story, not the certificate. Expect scrutiny of business rationale, counterparties, expected volumes, and source of wealth. Offshore-only structures with no UAE footprint face more questions; a paired free zone entity, or an international EMI as a first step, is often the pragmatic route.

    Cost drivers

Registry fees, registered agent and registered office, corporate shareholder legalisation, nominee or trust arrangements, and ongoing renewal and compliance. Cheap packages usually exclude legalisation and banking support, which is where the real work sits. We scope a fixed quote rather than publishing generic pricing.

    Ongoing compliance after setup

Annual renewal, maintaining accounting records, updating registers, ESR and UBO obligations where applicable, and a Corporate Tax position review. Non-resident offshore holding companies are commonly outside UAE Corporate Tax scope, but that depends on activity, management, and where profits arise.

    Questions clients ask first

I am in the UK — how does UK to Dubai company setup work?

UK founders moving a business to Dubai usually incorporate the UAE entity first, legalise UK corporate and personal documents through the FCDO and the UAE Embassy in London, then apply for a residence visa before opening a UAE bank account. Whether it changes your UK tax position depends on the Statutory Residence Test and where the company is managed — see our Dubai company setup for UK founders page.

How long does UAE offshore company setup take?

Incorporation typically completes within a few business days once documents are clean. Corporate shareholders requiring notarisation or apostille add one to three weeks. UAE bank account opening usually takes a further four to ten weeks.

Can I set up a UAE offshore company remotely?

Yes. Registration is handled by a licensed registered agent using certified documents. An in-person visit is usually needed only for UAE bank account opening, though some regional banks and international EMIs accept remote onboarding.

How much does a UAE offshore company cost?

Cost depends on registry, shareholder type, legalisation requirements, and whether nominee or trust arrangements are used. We provide a scoped fixed quote after reviewing your structure rather than publishing package pricing.

Which registry is best for offshore setup — RAK ICC or JAFZA?

RAK ICC suits most cases: broadest banking acceptance, flexible structures, and lower fees. JAFZA Offshore is preferred where Dubai association or holding Dubai freehold property in approved developments is part of the plan.

Does a UAE offshore company pay corporate tax?

UAE offshore companies used as non-resident holding vehicles with no UAE-taxable presence are generally outside UAE Corporate Tax scope. This depends on activity, place of management, and where profits arise, and home-country rules must be reviewed separately.

Can an offshore company get UAE residence visas?

No. Offshore companies do not sponsor UAE residence visas. Founders who need residency usually add a free zone company for the visa and keep the offshore entity for holding.

Is a minimum share capital required?

There is no paid-up capital requirement in most RAK ICC and JAFZA Offshore cases. Authorised capital is simply declared in the Memorandum and Articles.
