The question behind the question
"Do I pay UK tax on my Dubai company income?" almost always resolves into two separate tests: are you still UK tax resident, and is the company UK tax resident or trading through a UK permanent establishment. Incorporating in Dubai answers neither on its own.
1. Your residency: the Statutory Residence Test
The SRT works in three stages, applied in order:
- Automatic overseas tests — for example, spending fewer than 16 days in the UK in a tax year after being resident in one of the previous three, or working full time overseas with limited UK days. Meet one and you are non-resident.
- Automatic UK tests — 183 days or more in the UK, a UK home you use sufficiently, or full-time UK work. Meet one and you are resident.
- Sufficient ties test — where neither set applies, your UK day count is measured against ties: family, accommodation, work, 90 days in either of the previous two years, and (for leavers) spending more time in the UK than anywhere else. The more ties, the fewer days you are allowed.
Day counting matters and is unforgiving. Keep a contemporaneous travel log with boarding passes from the day you plan to leave.
2. Split-year treatment
In the year you leave, split-year treatment can divide the tax year into a UK part and an overseas part, so foreign income after departure falls outside UK scope. It applies only under specific cases — for example, starting full-time work overseas or ceasing to have a UK home. It is not automatic and it is not available in every departure scenario.
3. Temporary non-residence
If you leave the UK and return within five years, the temporary non-residence rules can pull certain income and gains realised while abroad back into UK charge in the year of return. This bites hardest on dividends from a close company and on capital gains. If a return to the UK is plausible, model it before extracting profits.
4. Is the Dubai company itself UK tax resident?
A company is UK tax resident if it is incorporated in the UK, or if its central management and control is exercised in the UK. The second limb is the one that catches founders. If the strategic decisions are taken by someone sitting in London, the UAE company can be UK tax resident regardless of its licence, its registered address, or where it banks.
What helps: directors resident in the UAE, board meetings genuinely held and minuted in the UAE, contracts negotiated and signed there, and an office arrangement that matches the activity level.
5. UK permanent establishment
Even a company that is not UK tax resident can be taxed in the UK on profits attributable to a UK permanent establishment — a fixed place of business in the UK, or a dependent agent habitually concluding contracts there. Working from a UK spare room for part of the year, or having a UK-based salesperson closing deals, can create one.
6. The UK-UAE double taxation agreement
The treaty provides residency tie-breaker rules for individuals (permanent home, centre of vital interests, habitual abode, nationality) and allocates taxing rights over dividends, interest and business profits. It is a useful backstop where both countries claim you, but it does not rescue someone who is simply still UK resident under the SRT, and claiming treaty residence requires a UAE tax residency certificate.
7. The UAE side
The UAE has no personal income tax. UAE corporate tax applies at 9% on taxable profit above AED 375,000, with a 0% rate on qualifying income for qualifying free zone persons that meet the substance and de minimis conditions. Our corporate tax guide covers the mechanics, and the offshore corporate tax guide covers holding structures.
A practical sequence
- Model the SRT for the departure year and the first full year abroad.
- Fix the departure date and start a travel log.
- Decide the fate of the UK company before extracting profits.
- Incorporate in the UAE and establish real management there.
- Obtain UAE residency, Emirates ID, and later a tax residency certificate.
- File the UK return with the residence pages, and keep the evidence.
